VGO Taxi Service Agreement

VGO InfoTech is a private limited liability company established in the Republic of Djibouti. VGO Taxi is the online taxi service provided by VGO InfoTech locally in Djibouti (the "Service"). This service agreement (the "Agreement") applies to customers using the Service in Djibouti.

Please read this Agreement carefully before using the Service. By using the Service, the customer agrees to the terms of this Agreement.

VGO InfoTech reserves the right to amend the terms related to the Service as necessary. Amendments will be posted here and will take effect from the date of publication. Continued use of the Service after publication indicates acceptance of the amended Agreement.

Section 1. Contractual Relationship

Customers can use the Service through a mobile application or other means. The Service assists customers in contacting independent third-party drivers to purchase transportation services from them.

When using the Service, the customer acknowledges that:

  1. VGO Taxi is an information exchange platform that matches customer demand with independent third-party drivers. VGO Taxi does not provide transportation services itself and does not act as a carrier. All transportation services are provided by third-party drivers not employed by VGO Taxi or any of its affiliates, thus VGO Taxi is not a party to the service relationship formed between customers and third-party drivers.

  2. To the maximum extent permitted by law, VGO Taxi is not responsible for the actions or omissions of any third-party drivers in providing transportation services, nor is it liable for the status, standards, and quality of the transportation services provided by third-party drivers. VGO Taxi does not guarantee the accuracy or completeness of information (including any information, photos, or images related to transportation services displayed on the platform). Photos and images are for illustrative purposes only and do not constitute or form part of any offer, contract, representation, or warranty, either express or implied.

  3. Third-party drivers are solely responsible for obtaining all applicable approvals, authorizations, consents, and licenses from relevant parties, regulatory bodies, and government agencies related to their provision of services (if applicable).

  4. Any safety or other relevant efforts, functions, processes, policies, standards, or other work undertaken by VGO Taxi or its affiliates for public safety or service quality maintenance (whether or not required by regulations) do not imply an employment relationship with third-party drivers.

Section2. Using the Service

1. User Registration

The Service is provided via the VGO APP, so customers must register and maintain an active personal account to use the Service. When registering, customers are required to submit certain personal information to VGO Taxi, such as name, phone number, and at least one valid payment method (credit card or accepted alternative payment method). Customers agree to keep their account information accurate, complete, and up to date. Failure to maintain accurate, complete, and timely updated account information, including invalid or expired payment methods in the profile, may result in the inability to use the Service or termination of this Agreement by VGO Taxi. Customers are responsible for all activities under their accounts and agree to keep their account username and password secure and confidential.

2. Using the Service

  1. Customers submit a request for taxi services through the Service platform, which will match suitable vehicles according to the customer's request. The third-party driver who successfully matches under the platform rules will provide transportation services to the customer. The platform will make reasonable efforts to ensure that customers can obtain the required transportation services, subject to the availability of vehicles in the vicinity of the customer's location at the time of the request.

  2. To prevent third-party drivers from changing vehicles or lending accounts, customers should carefully verify that the vehicle and driver match the information displayed on the platform before boarding. If there are discrepancies, customers should refuse to board and report the issue to platform customer service.

  3. Customers must not carry hazardous items or other items prohibited by laws, regulations, or rules while using the service; otherwise, the driver has the right to refuse service, and the customer will bear any consequences and liabilities arising from carrying such items.

  4. Customers may be permitted to bring small animals, such as dogs or cats, at the discretion of the third-party driver. In such cases, customers are responsible for securing the animals properly using leashes, seatbelts, carriers, or other means. Customers also must ensure that the animals do not cause damage or disruption to the third-party driver’s vehicle. According to this Agreement, customers may be required to pay for any damages or cleaning costs caused by the animals transported during the ride.

  5. Customers must not take photos, record audio, video, or live stream during the service without the prior consent of the vehicle driver, and they should ensure that such activities do not interfere with the driver's ability to drive safely.

3. Information Sending

Creating an account indicates that the customer agrees to receive text messages (SMS), push notifications, and/or emails from the Service as part of the normal business operations of using the Service.

4. Network Permissions and Devices

Customers are responsible for obtaining the necessary data network permissions to use the Service. If customers access or use the Service through wireless devices, they may incur mobile network data charges, which will be borne by the customer. Customers are also responsible for obtaining and updating the necessary compatible hardware or devices to access and use the Service and the application, including any updates. VGO InfoTech does not guarantee that the Service or any part thereof will operate on any specific hardware or device. Additionally, the Service may be subject to inherent failures and delays in internet and electronic communication.

5. Third-Party Links

This platform may contain links to third-party websites (or applications) or services. Whether to access these links or accept corresponding services is at your discretion. The platform will fulfill its legal obligations regarding review; however, the accuracy, completeness, sufficiency, and reliability of information, data, opinions, images, statements, or suggestions provided on these links are the responsibility of the respective providers.

Section3. Fees and Payments

  1. Customers acknowledge that using the Service will incur fees charged by third-party drivers for the services received ("Fees"). Before using the Service, the platform displays the service fees that customers are required to pay. By choosing to continue using the Service, the customer accepts the displayed service fees.

  2. After using the services obtained through the platform, customers must pay the Fees before leaving the vehicle. The platform will assist customers in paying the Fees on behalf of the third-party driver as a limited collection agent. Payment in this manner is considered equivalent to directly paying the third-party driver. If required by law, the Fees will include applicable taxes. Unless VGO Taxi decides otherwise, the Fees paid by the customer are final and non-refundable.

  3. Customers can use third-party electronic payment accounts available on the platform for payments. When processing payments related to the customer's use of the Service, the platform will be subject to the terms and policies of electronic payment providers and credit/debit card issuing banks, in addition to this Agreement. The platform is not responsible for errors made by electronic payment providers or banks.

  4. All Fees must be paid immediately, and the platform will assist the customer in completing the payment according to the preferred payment method specified in the customer’s account. If the preferred payment method is deemed expired, invalid, or unable to collect payment, the customer agrees to allow the platform to use an alternative payment method from the customer’s account (if available). In certain cases, customers may choose to pay the Fees directly in cash to the third-party driver and agree to pay the full amount specified in the application. Customers can select this cash payment option in the application (if available).

Section4. Disclaimer of Liability

  1. All services are provided on the basis of "available resources" of the platform and third-party drivers. VGO InfoTech and its affiliates do not assume any express, implied, or statutory representations and warranties not explicitly stated in this Agreement, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Furthermore, VGO InfoTech and its affiliates do not make any representations, warranties, or guarantees regarding the reliability, timeliness, quality, suitability, or availability of the Service or any services or goods requested through the use of the Service, or that the Service will operate uninterrupted or error-free. VGO InfoTech and its affiliates do not guarantee the quality, suitability, safety, or capability of third-party suppliers. Customers agree that, to the maximum extent permitted by applicable law, all risks arising from the customer's use of the Service and any related requested services or goods are solely borne by the customer.

  2. VGO InfoTech does not control, manage, or direct any third-party drivers. Third-party drivers are not employees of VGO InfoTech. VGO InfoTech and its affiliates are not responsible for any actions or omissions of any third-party drivers.

  3. VGO InfoTech does not control, endorse, or assume any responsibility for any user-generated content or third-party content provided or linked through the Service. VGO InfoTech cannot and does not represent or warrant that the Service or the server is free of viruses or other harmful components.

  4. VGO InfoTech and its affiliates are not liable for any indirect, incidental, special, punitive, or consequential damages related to the Service, or arising from its use, including loss of profits, data loss, personal injury, or property damage, even if VGO InfoTech and/or its affiliates have been advised of the possibility of such damages. VGO InfoTech and its affiliates are not liable for any damages, liabilities, or losses resulting from: (i) the customer’s use of or reliance on the Service or the inability to access or use the Service; or (ii) any transactions or relationships between the customer and any third-party supplier, even if VGO InfoTech and/or its affiliates have been advised of the possibility of such damages. VGO InfoTech and its affiliates are not liable for delays or inability to provide services due to causes beyond their reasonable control.

Section5. Governing Law

This Agreement is governed by the laws of the Republic of Djibouti. In the event of any conflict, compensation, or dispute arising from or related to the performance, breach, termination, interpretation, or validity of this Agreement, or the use of VGO Taxi, any party may file a lawsuit in a court with jurisdiction over the defendant's location if negotiations fail.
